Wragge & Co has advised Accell Group NV on a £62 million deal to buy Raleigh Cycle Limited.

A cross-firm team of 18 lawyers, led by corporate partner Julian Henwood provided advice on corporate, tax, IP, property, environmental, commercial, banking, pensions and employment issues.

Associate Nigel Collins provided support on the negotiation of the share purchase agreement, managed the cross firm team and oversaw the UK legal due diligence reporting on the project.

Mr Henwood said: “Having been instructed by Accell, on the recommendation of our friends at Houthoff Buruma in The Netherlands (Accell’s usual Dutch external counsel), just one month before the signing date, we faced an extremely tight timetable.

“As the Raleigh Cycles business is multi-jurisdictional, we had to take into account advice (co-ordinated by Houthoff Buruma) from the client’s other external counsel in Brunei, Canada, Germany, Hong Kong, Jersey, Switzerland, Taiwan and the US. Success relied completely on our full-service capability and experience at handling major international deals.”

Rens Nijdam, Accell’s in-house counsel, said: “This is a major deal for Accell, building its global business by securing major new markets and outlets in the UK and North America. Wragge & Co’s expertise has been crucial in helping us safely navigate the complex legal issues involved in a multi-jurisdictional international acquisition of this nature.”
